Welcome to SalemDigi.com. These Terms & Conditions ("Terms") govern your use of our services and form a legally binding agreement between you ("Client") and SalemDigi.com ("Company", "we", "us", or "our").
1. Scope of Services
1.1 SalemDigi.com provides digital agency services including but not limited to web design, digital marketing, SEO services, social media management, content creation, and e-commerce development.
1.2 Specific services will be outlined in individual project proposals or service agreements that reference these Terms.
1.3 All services are subject to availability and our technical capabilities at the time of engagement.
2. Payment Terms
2.1 Payment Structure: We recommend a 50% upfront payment before project commencement, with the remaining 50% due upon project completion or as specified in the project agreement.
2.2 Payment Methods: We accept payments via bank transfer, UPI, credit/debit cards, and other methods as specified in invoices.
2.3 Late Payments: Overdue payments may incur a late fee of 2% per month or as permitted by Indian law.
2.4 Currency: All payments are in Indian Rupees (INR) unless otherwise specified.
3. Delivery Timelines
3.1 Project timelines will be specified in individual project proposals and are estimates based on project scope and complexity.
3.2 Delivery timelines may be extended due to client delays in providing required materials, feedback, or approvals.
3.3 Force majeure events, technical issues, or third-party service dependencies may affect delivery timelines.
3.4 We will communicate any timeline changes promptly and work to minimize delays.
4. Intellectual Property
4.1 Client Content: Clients retain ownership of all content, materials, and intellectual property provided to us.
4.2 Deliverables: Upon full payment, clients receive ownership of custom work created specifically for their project.
4.3 Third-Party Assets: Any third-party assets (stock photos, fonts, plugins) used in projects remain subject to their respective licenses.
4.4 Company IP: Our methodologies, processes, and pre-existing intellectual property remain our property.
5. Limitation of Liability
5.1 Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project.
5.2 We are not liable for indirect, incidental, special, or consequential damages including but not limited to loss of profits, data, or business opportunities.
5.3 We are not responsible for third-party service failures, hosting issues, or external factors beyond our reasonable control.
5.4 Clients are responsible for maintaining backups of their data and content.
6. Refund Policy
6.1 Project Cancellation: If a project is cancelled before commencement, upfront payments may be refunded minus any setup costs incurred.
6.2 Work Completed: No refunds will be provided for work that has been completed and delivered according to agreed specifications.
6.3 Refund Process: Approved refunds will be processed within 7-14 business days via the original payment method.
6.4 Dispute Resolution: Refund disputes will be handled according to the dispute resolution process outlined in Section 8.
7. Client Responsibilities
7.1 Provide accurate and complete information required for project execution.
7.2 Respond to requests for feedback, approvals, and materials within agreed timeframes.
7.3 Ensure all provided content is original or properly licensed for use.
7.4 Maintain confidentiality of any login credentials or sensitive information shared during the project.
8. Dispute Resolution and Jurisdiction
8.1 Governing Law: These Terms are governed by the laws of India and the state of Tamil Nadu, India.
8.2 Jurisdiction: Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Salem, Tamil Nadu, India.
8.3 Dispute Resolution Process:
- Step 1: Direct negotiation between parties for 30 days
- Step 2: Mediation through a mutually agreed mediator
- Step 3: Arbitration under the Arbitration and Conciliation Act, 2015
- Step 4: Court proceedings as a last resort
8.4 Language: All dispute resolution proceedings shall be conducted in English.
9. Termination
9.1 Either party may terminate ongoing services with 30 days written notice.
9.2 Immediate termination may occur in cases of breach of contract, non-payment, or violation of these Terms.
9.3 Upon termination, clients will receive all completed work and pay for services rendered up to the termination date.
9.4 Confidentiality obligations survive termination of these Terms.
10. Privacy and Data Protection
10.1 Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.
10.2 We implement reasonable security measures to protect client data and information.
10.3 Clients consent to our use of project information for portfolio and marketing purposes unless explicitly restricted in writing.
11. Modifications to Terms
11.1 We reserve the right to modify these Terms at any time with 30 days notice to existing clients.
11.2 Continued use of our services after modification constitutes acceptance of the updated Terms.
11.3 Material changes will be communicated via email to registered clients.
