1. Acceptance of Terms

Welcome to SalemDigi. These Terms & Conditions ("Terms") govern your use of our website, mobile applications (Android & iOS), ERP systems, and custom software services. By engaging with SalemDigi.com, you form a legally binding agreement between yourself ("Client") and SalemDigi ("Company", "we", "us", or "our").

2. Scope of Services

SalemDigi provides high-performance digital engineering services including but not limited to:

  • Web and Mobile Application Development (React, Next.js, Flutter, etc.)
  • Enterprise Resource Planning (ERP) & Billing Solutions
  • Digital Architecture and Product Strategy
  • Digital Marketing, SEO, and Brand Management

Specific deliverables will be detailed in individual project proposals which reference these master terms.

3. Payment Terms

Structure

Standard engagement requires a 50% upfront payment, with the remaining 50% due upon project completion or as specified in your agreement.

Late Payments

Overdue payments may incur a late fee of 2% per month, as permitted under Indian law and specific state regulations of Tamil Nadu.

Taxes (GST)

All plan rates and project estimates are exclusive of taxes. A standard 18% Goods and Services Tax (GST) will be applied to all invoices as per Government regulations.

Note: All prices mentioned across the site are exclusive of 18% GST.

All payments are in Indian Rupees (INR) unless explicitly agreed otherwise in writing. Prices are not fixed and are subjected to change based on project, customizations, revisions and time.

4. Intellectual Property

4.1 Client Content: You retain full ownership of all materials provided to us for project execution.

4.2 Deliverables: Upon final payment and project closure, ownership of custom digital products created specifically for you is transferred to the Client.

4.3 Company IP: Our underlying methodologies, base code architectures, and pre-existing software engines remain the exclusive property of SalemDigi.

5. Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for that specific project. We are not liable for indirect, incidental, or consequential damages resulting from third-party hosting failures, external API changes, or force majeure events.

6. Refund & Cancellation

  • Cancellations: Projects cancelled before development starts may receive a partial refund minus administrative and setup costs.
  • Completed Work: No refunds are provided for phases of work that have been completed and approved by the Client.
  • Process: Approved refunds are processed within 7-14 business days via the original payment method.

7. Dispute Resolution & Jurisdiction

These Terms are governed by the laws of India and the state of Tamil Nadu.

Resolution Framework:

  1. Direct negotiation between parties (minimum 30 days)
  2. Mediation through a mutually agreed neutral party
  3. Arbitration under the Arbitration and Conciliation Act, 2015
  4. Exclusive jurisdiction of the courts in Salem, Tamil Nadu, India
